Terms of Service

By accessing or using Chavica ("the Platform", "we", "us", or "our") at chavica.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform, whether on a free or paid plan. We reserve the right to update or change these Terms at any time. Continued use of the Platform after such changes constitutes your acceptance of the new Terms.

If you are using the Platform on behalf of an organisation, you represent and warrant that you are authorised to accept these Terms on behalf of that organisation.

Chavica is a website builder platform that allows users to create, customise, and publish websites using a visual drag-and-drop editor. Our services include, but are not limited to:

• Hosted website creation and publishing • Subdomain provisioning (yourname.chavica.com) • Custom domain registration and management • Premium templates and design blocks • Analytics and page view tracking • Subscription billing and plan management via Bachs • Team collaboration tools (Business and Enterprise plans) • API access (Enterprise plan only)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To use most features of Chavica, you must create an account. When registering, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your password and account, and for all activities that occur under your account.

You must notify us immediately at legal@chavica.com of any unauthorised use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this obligation.

You may not use another person's account without their express permission. Accounts registered by bots or automated methods are not permitted. We reserve the right to terminate accounts, remove or edit content, or cancel services at our sole discretion.

You must be at least 13 years of age to use this Service. If you are under 18, you must have your parent or guardian's consent.

Chavica offers a free tier and three paid subscription plans: Pro (₦15,000/month), Business (₦25,000/month), and Enterprise (₦35,000/month). All prices are in Nigerian Naira (NGN) and are subject to change with 30 days' notice.

Payments are processed securely through Bachs, a cross-border payment processor that accepts cards, bank transfers, mobile money, and crypto from anywhere in the world. You are responsible for keeping your billing information accurate and up to date.

Each subscription period runs for 30 days from the date of payment. We do not automatically charge your payment method for renewal — you will need to complete a new checkout from your billing dashboard to continue your plan into the next period. You may cancel at any time; upon cancellation, or if a period lapses without renewal, your account is downgraded to the Free plan. No pro-rated refunds are provided for unused time.

Domain registration fees are one-time charges per domain and are non-refundable once the domain has been successfully registered with our registrar partner. Domain registration is subject to availability and our registrar partner's terms of service.

We reserve the right to change pricing at any time. Existing subscribers will be notified at least 30 days before any price changes take effect.

You retain full ownership of all content you create, upload, or publish through Chavica ("User Content"). By using the Platform, you grant Chavica a non-exclusive, royalty-free, worldwide licence to host, store, display, and serve your User Content solely for the purpose of providing the Service.

You represent and warrant that: (a) you own or have the necessary rights to all User Content you submit; (b) your User Content does not infringe any third-party intellectual property rights; (c) your User Content does not violate any applicable law or regulation.

Chavica's own intellectual property — including but not limited to the platform, templates, logos, brand marks, and software — remains the exclusive property of Chavica. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

You acknowledge that templates provided by Chavica are licensed for use within the platform only and may not be exported for use on other hosting platforms or distributed to third parties.

You agree not to use the Platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Platform. Prohibited activities include, but are not limited to:

• Publishing, distributing, or transmitting content that is defamatory, obscene, pornographic, abusive, offensive, or illegal • Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity • Engaging in phishing, fraud, scams, or any deceptive practices • Hosting malware, ransomware, spyware, or any malicious code • Sending unsolicited bulk emails (spam) using domains or content hosted on Chavica • Mining cryptocurrency or conducting any compute-intensive operations • Attempting to gain unauthorised access to any portion of the Platform • Reverse engineering, decompiling, or disassembling any part of the Platform • Scraping or systematically extracting data from the Platform without our written consent • Using the Platform to operate an adult content website, gambling site, or any site promoting illegal activities

Violation of these prohibitions may result in immediate termination of your account without notice and without refund. We reserve the right to report illegal activity to appropriate law enforcement authorities.

Domain registration services on Chavica are facilitated through our registrar partner. When you register a domain through our Platform, you agree to be bound by both these Terms and our registrar partner's terms and conditions.

Domain availability is not guaranteed until registration is confirmed. Chavica is not responsible for domain registration failures due to third-party registrar issues, ICANN policies, or availability changes between search and checkout.

You are responsible for renewing your domain registration before expiry. Chavica will send reminder emails but is not liable for domain loss due to non-renewal. Expired domains may be released to the public and acquired by third parties.

Domain prices displayed on the Platform represent our reseller rates and include a margin for the provision of registration services. These prices may differ from wholesale registrar rates.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at chavica.com/privacy to understand our practices regarding the collection and use of your personal information.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Platform will meet your specific requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) any errors in the Platform will be corrected; (d) the results obtained from using the Platform will be accurate or reliable.

We make no warranties regarding the reliability of uptime beyond what is commercially reasonable for a shared hosting environment. We target 99.9% uptime but do not guarantee it.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHAVICA AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(a) Your access to or use of (or inability to access or use) the Platform; (b) Any conduct or content of any third party on the Platform; (c) Any content obtained from the Platform; (d) Unauthorised access, use, or alteration of your transmissions or content; (e) Domain registration failures or domain loss due to third-party registrar issues.

In no event shall our total liability to you for all claims exceed the amount you paid to Chavica in the 12 months preceding the claim, or ₦50,000, whichever is greater.

We may suspend or terminate your access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination: (a) your right to use the Platform ceases immediately; (b) you will lose access to all your sites, data, and content within 30 days; (c) no refunds will be issued for any unused subscription period. We strongly recommend exporting your data before account closure.

You may delete your account at any time from your account settings. Deletion is permanent and irreversible after a 14-day grace period.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on the Platform and/or sending an email to the address associated with your account at least 14 days before the changes take effect.

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
